A term sheet is a critical document that lays out the basis for the agreement between an entrepreneur and an investor.  It is notoriously pro-investor, frequently containing land mines and other booby traps hidden in the often unfamiliar nomenclature.  In this Forum, moderated by Peggy Farrell of Hinckley Allen & Snyder, venture capitalist Jeff Vogel of Bulger Capital and entrepreneur Barrett Bready of NABsys will review the standard (and not-so-standard) provisions in a term sheet and discuss select phrases and concepts like participating preferred, double trigger acceleration and full ratchet anti-dilution protection, so you--the entrepreneur--will be ready for the red flags, potholes and quicksand ahead.
