There are many issues to consider when organizing a new business. Among structural matters, you have to choose an entity, allocate equity among the founders, set up agreements among the founders on vesting and control, secure your intellectual property, and provide for stock incentives for employees. It's less expensive to do something right in the beginning than to correct problems later. In addition, numerous personal considerations must be addressed, such as tradeoffs with academic and other time and taking an objective approach to assessing business-related strengths and weaknesses of the founders, in order to determine what's best for the company.
